Delaware Chancery Court Judge issues ruling to unseal court documents realted to a Yahoo shareholder lawsuit. The documents show that Yahoo rejected a $40 per share offer from Microsoft in January. And that Yahoo cooked up a costly severance plan to make a Microsoft takeover unfeasiable.

Yahoo!'s stock was much higher then. Company management has a great deal of discretion how to handle these types of things, and I think that these shareholders are going to have a very difficult time catching Yang and his friends. Look at Icahn's efforts to divide up Motorola - everybody lost big. I'd steer clear of Yahoo, Microsoft and this whole thing for a while.

Jerry Yang and his board have played this terribly. They are too emotionally invested in this. I like Yahoo as a company but think they need more muscle to compete with Google. Google will slowly strangle them. They need the MS deal. I hope saner minds prevail.
